The definition is deliberately broad, which is why the exclusions carry equal weight: information already public, already known, independently developed, received from a third party or compelled by law sits outside the obligation. The purpose clause narrows permitted use to one named engagement, and the term fixes how long the duty lasts.
Choosing unilateral or mutual loads a different full draft, since the roles differ throughout rather than in a word.
